Graduate of the Faculty of Law and Administration at the University of Warsaw and Postgraduate Studies in Capital Market Law at the University of Warsaw. He obtained a diploma from the University of Cambridge - British Centre for English and European Legal Studies. Attorney Rudnicki worked with the law firm Prof. Marek Wierzbowski i Partnerzy from 2006 to 2015, most recently as associate partner. Later he was a partner at Rudnicki Korolczuk Law Firm from 2015 to 2020. Since 2020, he has led the law firm Rudnicki Partners Business Legal Advisors. In his career, he has provided legal services to leading companies operating on the Polish market. Sebastian specialises in legal services for mergers, acquisitions, demergers and transformations of companies (including public companies), restructuring and privatisation processes, as well as public and private offerings of shares, bonds, subscription warrants and other types of securities. Sebastian handled over a hundred M&A transactions, which included him leading teams of lawyers in several dozens of due diligence processes. He prepared numerous prospectuses and provided legal services for numerous public offerings (IPOs, SPOs) and processes of admission of shares to trading on the regulated market of the Warsaw Stock Exchange. He advised on several hundred private offerings of shares and bonds, as well as in the processes of listing shares on NewConnect and bonds on Catalyst. He has cooperated with most brokerage houses. Sebastian also provides ongoing services to corporate entities, in particular with regard to the implementation of corporate procedures and compliance, as well as representation of clients in proceedings before the Polish Financial Supervision Authority, the National Depository for Securities, the Warsaw Stock Exchange, the Office of Competition and Consumer Protection, courts and other administrative authorities. His professional interests are related to corporate law, securities law and civil law. Sebastian is an author of several publications on civil law and proceedings and securities law, including in particular the co-author of the Commentary on Capital Market Law from Beck's Big Commentaries series and the Commentary on the Polish Bond Act from Beck's Big Commentaries series. He provides legal assistance in Polish and English.
